Update on the conclusion by the Consortium, including Unibep SA, of a contract for the execution of an investment concerning the construction of a gas-fired cogeneration plant at the Kraków Combined Heat and Power Plant

With reference to Current Report No. 56/2025 of 21 July 2025, reporting that on 21 July 2025 a consortium [Consortium], consisting of Unibep SA with its registered office in Bielsk Podlaski [Consortium Leader] and SBB Energy SA with its registered office in Opole [Consortium Partner] concluded an agreement [Agreement] with PGE Energia Ciepła SA [Ordering Party] for the execution of a public procurement entitled: “Construction of a gas-fired cogeneration plant based on a gas engine system for PGE Energia Ciepła SA Branch No. 1 in Kraków” [Investment], the Management Board of Unibep SA [Issuer, Company] announces that on 22 January 2026 it received from the Ordering Party a notification of the exercise of the contractual option right.

As a result, the Ordering Party has commissioned the Consortium to carry out, in addition to the primary scope of work, the following:

an optional execution part valued at approximately PLN 260.3 million net, of which the Issuer’s share amounts to PLN 183.7 million net, and

an optional service part valued at approx. PLN 54.9 million net, entirely allocated to the Issuer.

The total remuneration of the Consortium under the execution and service contracts amounts to approx. PLN 885.7 million net, of which the Issuer’s share is approx. PLN 589.7 million net.

In all other respects, the terms for the implementation of the Investment, as described in Current Report No. 56/2025 of 21 July 2025, remain unchanged.
