Establishment of the second Bond Issuance Program of Unibep SA

The Management Board of UNIBEP SA [Issuer, Company] announces that on 15 December 2025 it adopted a resolution on the establishment of the second Bond Issuance Program to be implemented by the Company (the II Program) under the following terms:

1) Under the Programme, the Company will issue not more than 140 000 bearer bonds, in one or more series, starting from series J, with a nominal value of PLN 1000 each, with a total nominal value of not more than PLN 140 000 000.

2) The bonds may be admitted to trading on the alternative trading system operated by the Warsaw Stock Exchange SA,

3) Bond issues under the II Program should take place no later than 31 December 2026. Matters not regulated in the aforementioned resolution of the Issuer’s Management Board, including the remaining terms of the bond issues, will be determined in separate resolutions of the Company’s Management Board accompanying each bond issue under the II Program.

The values and schedules of the issue of individual series of bonds issued under the II Program will depend on the current capital needs of the Company and its subsidiaries, with the Company planning to carry out the first bond issue under the II Program in the first quarter of 2026 for up to PLN 100,000,000, with an option to increase to PLN 140,000,000.

At the same time, the Issuer announces that on 15 December 2025 the Company’s Supervisory Board, by resolution, approved the implementation of the II Program on the above terms and authorised the Management Board of the Company to take all legal and factual actions necessary to carry out the bond issues under the II Program.

In addition, on 15 December 2025 the Issuer decided to terminate the bond issuance program established by the Company’s Management Board resolution of 3 September 2021, which the Issuer reported, among others, in Current Report No. 49/2021 and subsequent reports.
