Amicable termination of the agreement with the Contracting Authority concerning the implementation of the investment involving the expansion and reconstruction of the production facility in Radzikowice, Opolskie Voivodeship

In reference to Current Report No. 10/2024 of 13 February 2024 and Current Report No. 11/2024 of 16 February 2024, informing about the mutual declarations of withdrawal in the unperformed part of the agreement [Agreement] for the execution of the investment involving the expansion and reconstruction of the production facility in Radzikowice, Opole Voivodeship [Investment], submitted by Umicore Battery Materials Poland sp. z o.o. with its registered office in Radzikowice [Ordering Party], and Unibep SA with its registered office in Bielsk Podlaski [Issuer, Company] and further to subsequent information provided by the Issuer in periodic reports, including, among others, the periodic report for 2024 and the report for the first half of 2025, regarding mutual claims raised by the parties following the withdrawal from the Agreement, the Management Board of the Issuer informs that on 8 October 2025 it received information about the approval by the competent court, as of 7 October 2025, of the settlement [Settlement] between the aforementioned parties on this matter within the framework of court mediation.

Under the Settlement, the parties withdrew their previously submitted mutual declarations of withdrawal from the Agreement and decided on its amicable termination, and also agreed to withdraw all claims raised, including any lawsuits filed for payment. Furthermore, both parties mutually acknowledged that they have no other claims against each other in connection with the implementation of the Investment.

The Issuer indicates that, as of the date of publication of this current report, the estimated impact of the concluded Settlement on the Issuer’s gross profit before tax to be recognised in the second half of 2025 amounts to PLN -0.6 million, which will be reflected in the relevant periodic report.
